Terms of Service

These Terms of Service ("Terms") are an agreement between you and JJM International Consulting LLC, doing business as SHOWROOM4K ("SHOWROOM4K," "we," "us," or "our"). By creating an account, accessing a wholesale website or presentation, submitting an order, or otherwise using our services (the "Services"), you agree to these Terms. If you use the Services for a business, you represent that you have authority to bind that business.
1. The SHOWROOM4K platform
SHOWROOM4K provides software for wholesale websites, digital product presentations, buyer ordering, sales-representative access, customer records, order reporting, and related tools. We provide the technology platform; the applicable brand or seller is responsible for its products, pricing, availability, buyer approval, order acceptance, fulfillment, shipping, returns, taxes, invoices, payment terms, and customer service.
2. Accounts and access
You must provide accurate information, keep your credentials secure, and promptly notify us of unauthorized use. Account access and permissions depend on your role. Brand owners and authorized administrators control their teams, representatives, products, buyers, presentations, and orders. Representatives may only access information and actions authorized by the applicable brand. Buyers may only use the Services for legitimate wholesale purchasing.
3. Wholesale orders
An order submitted through the Services is sent to the applicable brand or seller and may be treated as a purchase order or offer to purchase. Unless the seller expressly states otherwise, submission does not guarantee acceptance, product availability, price, ship date, credit approval, or fulfillment. The buyer and seller are solely responsible for their commercial relationship, including payment, taxes, shipping, cancellations, returns, disputes, and compliance with law.
4. Subscriptions and billing
Paid seller plans are billed monthly or annually according to the plan selected. Charges generally begin after the applicable wholesale website has been built and approved or on another date disclosed at enrollment. Subscriptions renew automatically unless canceled before the next renewal date. Except where required by law or expressly stated otherwise, fees already paid are nonrefundable. We may change future pricing with advance notice; any written promotional or founding-price commitment will be honored according to its stated terms.
5. Seller content and responsibilities
Sellers retain ownership of product images, logos, catalogs, pricing, descriptions, and other content they submit ("Seller Content"). Sellers grant us a worldwide, nonexclusive, royalty-free license to host, reproduce, format, display, and distribute Seller Content as needed to provide and promote their configured Services. Sellers represent that they have all rights needed for Seller Content and that their products, claims, pricing, and business practices are lawful and accurate.
6. Acceptable use
You may not misuse the Services; access another user’s data without authorization; probe or disrupt security; upload malware; scrape or copy the platform at scale; impersonate another person or business; submit fraudulent orders; infringe intellectual-property or privacy rights; use the Services for unlawful, deceptive, or abusive activity; or attempt to reverse engineer or resell the Services except as expressly authorized.
7. Intellectual property
Except for Seller Content and user-provided information, the Services—including software, design, branding, features, and documentation—are owned by SHOWROOM4K or its licensors and protected by law. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use the Services for your internal wholesale business activities.
8. Third-party services
The Services may rely on or link to third-party services such as payment processors, authentication providers, hosting platforms, email providers, domain registrars, and brand websites. Their services are governed by their own terms and policies, and we are not responsible for third-party acts or outages.
9. Suspension and termination
You may stop using the Services at any time and may cancel a paid subscription through available account or support channels. We may suspend or terminate access for nonpayment, security risk, unlawful conduct, material breach, or conduct that could harm users or the Services. Sections that by their nature should survive termination will survive.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR GUARANTEE ANY SALES, ORDERS, REVENUE, PRODUCT AVAILABILITY, OR BUSINESS RESULT.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHOWROOM4K AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO SHOWROOM4K DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless SHOWROOM4K and its affiliates from claims, losses, liabilities, and expenses arising from your content, products, orders, business practices, misuse of the Services, or violation of these Terms or applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Collin County, Texas, and each party consents to their jurisdiction and venue.
14. Changes and general terms
We may update these Terms by posting a revised version and changing the effective date. Continued use after the update means you accept the revised Terms. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with our business.
